Please read these Terms and Conditions (“Terms,” “Terms and Conditions”) carefully before using the Shift Social Auto website and services (the “Service”) operated by Shift Social Auto (“us,” “we,” or “our”).
1. Use of the Service
1.1 Eligibility
You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are of legal age and capable of forming a binding contract with us.
1.2 User Account
To access certain features of the Service, you may be required to register for an account. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You agree to provide accurate and complete information when registering and to promptly update your account details as needed.
2. Content and Intellectual Property
2.1 Content Ownership
All content provided on the Service, including text, graphics, logos, images, audio clips, and software, is the property of Shift Social Auto or its content suppliers and is protected by applicable intellectual property laws.
2.2 User-Generated Content
You may post, upload, or submit content to the Service (“User-Generated Content”). By doing so, you grant Shift Social Auto a worldwide, non-exclusive, royalty-free, and transferable license to use, reproduce, modify, adapt, publish, distribute, and display such User-Generated Content solely in connection with the Service.
3. Prohibited Conduct
You agree not to:
- Use the Service for any unlawful purpose or in violation of applicable laws or regulations
- Harass, threaten, or abuse other users or third parties
- Attempt to gain unauthorized access to the Service, user accounts, or systems
- Transmit viruses, malware, or other harmful code
4. Payment, Subscriptions & Refund Policy
4.1 No Refund Policy
All sales of products and services are final. No returns, exchanges, or refunds will be provided unless explicitly stated in writing by Shift Social Auto.
All online products, including but not limited to courses, subscriptions, software access, merchandise, or digital materials, are non-refundable and fully earned upon payment.
4.2 Subscriptions & Recurring Billing
You authorize Shift Social Auto to automatically charge or debit your designated payment method (“Monthly Payment Method”) for all recurring Financial Obligations, including subscription fees and service-related charges, without additional notice.
You represent and warrant that you are an authorized account holder of the payment method provided.
4.3 Cancellation Policy
Subscriptions may only be canceled through the Online Customer Portal:

The following are not valid cancellation methods and will not be honored:
- Phone calls or text messages
- Emails to Shiftly Auto staff
- Support tickets or social media messages
Cancellations may take up to 48 hours to process and will take effect at the end of the current billing cycle. No partial refunds will be issued.
5.1 Advertising Platforms
Shift Social Auto may provide advertising strategy, creative development, campaign setup, optimization, and management services on third-party advertising platforms, including but not limited to Meta (Facebook & Instagram), Google, TikTok, and other digital advertising platforms (“Advertising Platforms”).
5.2 Ad Spend Paid Directly to Platforms
All advertising spend is paid directly by the Client to the applicable Advertising Platform. Shift Social Auto does not collect, hold, process, manage, or bill advertising spend on behalf of the Client. Any advertising charges are solely between the Client and the Advertising Platform.
5.3 No Responsibility for Platform Actions
Shift Social Auto is not responsible or liable for any actions taken by Advertising Platforms, including but not limited to:
- Account suspensions, bans, or restrictions
- Rejected or disapproved advertisements
- Policy changes or enforcement decisions
- Billing errors, payment failures, or spending limits
- Platform outages, algorithm changes, or delivery fluctuations
All Advertising Platform decisions are outside of Shift Social Auto’s control.
5.4 No Guarantee of Advertising Results
Shift Social Auto does not guarantee any specific results from paid advertising efforts. Performance may vary due to market conditions, inventory, competition, creative quality, budget, audience behavior, and platform algorithms.
5.5 Client Responsibilities
The Client represents and warrants that:
- They are the authorized owner or have authorized access to all Advertising Platform accounts
- All advertising content, offers, and claims are accurate and lawful
- They are solely responsible for compliance with all federal, state, and local advertising laws
Shift Social Auto does not provide legal advice and is not responsible for regulatory compliance.
5.6 Advertising Indemnification
The Client agrees to indemnify and hold harmless Shift Social Auto from any claims, penalties, losses, or damages arising from advertising content, compliance failures, or Advertising Platform account activity.
6. Client Information & Data Confidentiality
6.1 Confidential Information
“Confidential Information” includes all non-public information disclosed by the Client, including but not limited to customer data, lead information, advertising accounts, login credentials, analytics data, and marketing strategies.
6.2 Use & Protection of Data
Shift Social Auto will use Confidential Information solely to provide services and will not sell or disclose such information except as required to perform services or by law.
6.3 Data Security
Reasonable safeguards are implemented to protect Client data; however, no system can be guaranteed to be 100% secure. Shift Social Auto is not responsible for breaches caused by third-party platforms or Client-provided access credentials.
6.4 Survival
Confidentiality obligations survive termination of these Terms.
7. No Guarantee of Results
We do not guarantee results or provide legal advice. Testimonials are not typical or guaranteed outcomes. Success depends on multiple external factors and individual effort.
8. Device Compatibility & Access Responsibility
The Client is responsible for providing compatible devices. Shift Social Auto is not liable for issues arising from unsupported devices. Mobile devices are not guaranteed to be compatible.
9. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind.
10. Limitation of Liability
To the maximum extent permitted by law, Shift Social Auto shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, including but not limited to damages arising from paid advertising services or platform actions.
11. Privacy
Use of the Service is governed by our Privacy Policy.
12. Changes to Terms
Shift Social Auto may update these Terms at any time. Updated Terms apply prospectively and do not alter existing contracts unless a new agreement is entered.
